Terms of Service

VRTL is a trading name of Virtual Companies Ltd, registered in England and Wales (company number 10505956). Registered office: Park View House, 59 Thornhill Road, Sutton Coldfield, West Midlands, B74 3EN. These terms are between you and Virtual Companies Ltd and apply to the VRTL website, the free assessment, and any VRTL product you buy. VRTL is sold to businesses, not to consumers.

The assessment is free and you're under no obligation to buy anything. It's produced with AI from your public website or the description you give us, so it's an informed starting point, not professional advice: it can be wrong or incomplete, and you should confirm anything important before relying on it. Only submit websites you're entitled to have reviewed. We may limit how many assessments can be run, and may pause the service.

VRTL products are sold as monthly subscriptions with no setup fee: setting up your product is included in the monthly price. Your quote shows the exact monthly price for your configuration, including VAT, before you commit. A contract is formed when you place an order and we confirm it. If, when we confirm your requirements at kick-off, something you've chosen turns out to need work that wasn't in your quote, we'll tell you and agree it with you before doing it; we won't add charges you haven't agreed.

You pay your first month when you order, which holds your place in our schedule. If you cancel before implementation work begins, we'll refund it in full. Where a product carries a published guarantee, its specific terms are shown on that product's page and apply in addition to these.

A VRTL Blueprint is a one-off consultancy service: a video consultation and a written report, paid in full when you order. The report is yours to use with any developer. It's our professional opinion based on what you tell us, not a guarantee that any particular system can be built for a particular cost. If you cancel before your consultation takes place, we'll refund you in full; once the consultation has happened the fee isn't refundable. If you start a VRTL subscription within six months of paying, the Blueprint fee (including VAT) is credited against your subscription payments.

Delivery times shown are our honest estimates for your configuration, not guarantees, and you can follow progress in VRTL Cloud. To deliver on time we need you to give us timely access to the people, information and systems involved. Delays caused by waiting on access or decisions extend the timeline. You're responsible for having the right to connect any third-party systems you ask us to integrate with.

Subscriptions are billed monthly in advance from your first payment and have a 12-month minimum term, unless your quote says otherwise. Because setup is included in the monthly price rather than charged up front, if you end your subscription during the minimum term the remaining months of that term are still payable. After the minimum term your subscription continues month to month, and you can cancel at any time with 30 days' notice through VRTL Cloud or by emailing us. On cancellation we'll give you an export of your data on request, then delete it as described in our privacy policy. We may suspend a product if fees are more than 30 days overdue, after giving you notice.

Your data stays yours. Where we process personal data on your behalf inside a VRTL product, we do so as your processor, on your instructions and under UK data protection law. VRTL's software, modules and know-how remain ours; while your subscription is active you have the right to use them in your business.

We take reasonable care and skill in everything we provide. We aren't liable for indirect or consequential loss, or for loss of profit, revenue or data that could have been prevented by reasonable backups. Our total liability in any 12-month period is limited to the fees you've paid us in that period. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law.

The terms shown at checkout, including the version you accept with your order, form part of these terms; if they conflict, your accepted order terms win. We may update these terms and will tell existing customers about material changes before they apply. These terms are governed by the law of England and Wales, and its courts have jurisdiction.
